Terms of Service

These Terms of Service (the “Terms”) govern your use of this website and of the advisory services offered under the name Aliwood Yachts. Aliwood Yachts is a registered trade name of a corporation incorporated in the Province of Alberta, and part of the Aliwood group of advisory services (“Aliwood”, “we”, “us”). By using this website or engaging our services, you agree to these Terms. If you do not agree, please do not use the website or our services.
1. Who we are and what we do
Aliwood is an independent advisor. On your instruction, we understand your requirements, search for suitable options, negotiate on your behalf where appropriate, recommend, and introduce you to independent third-party providers (“Providers”).
Aliwood does not own, operate, sell, insure or deliver the services or goods we recommend. We are not a carrier, operator, travel agent, broker of record, dealer, real estate brokerage, financial institution or escrow agent, and we do not act as a Provider’s agent. Unless a written engagement expressly says otherwise, we do not act as your legal agent and have no authority to bind you or any Provider.
2. Your engagement with us
Before any work begins, we confirm in writing the scope of our work and our flat fee (the “Engagement”). If the Engagement and these Terms conflict, the Engagement prevails for that matter. Nothing on this website is an offer capable of acceptance; all requests are subject to our confirmation.
3. Our fees
- Our fee is a flat fee agreed in writing in advance. It is never a percentage of any purchase, booking or transaction.
- Aliwood is paid only by its clients. We do not accept commissions, referral fees or any other payment from Providers.
- Our fee is for our advice and work, and is payable whether or not you proceed with any Provider. Where the Engagement requires part of the fee in advance, work begins once it is received.
- Fees are stated in the currency set out in the Engagement and are exclusive of applicable taxes, including GST, which are added where required by law.
- Once work has begun, fees already paid are non-refundable except as the Engagement provides or the law requires. If you end an Engagement early, fees for work already performed remain payable.
4. Providers and your contract with them
When you choose a Provider, you contract with and pay that Provider directly, on that Provider’s own terms. The Provider alone is responsible for delivering its services, for its pricing, availability, cancellations, refunds and insurance, and for complying with the laws and licences that apply to it. Aliwood never holds or receives money on a Provider’s behalf.
We select Providers with care and review the information and documents they make available to us, but we rely on that information as provided and cannot independently guarantee it. Ratings, certificates and insurance reflect their status at the time we review them.
5. Regulated and professional services
Where a service is regulated, such as air transport, real estate, medical care, security, legal, tax, financial or investment matters, we introduce appropriately licensed professionals who provide those services directly to you. Aliwood does not provide medical, legal, tax, accounting, investment, insurance or security advice, and nothing we say should be relied on as such.
6. Private yachting
- Aliwood does not own, operate, manage or sell yachts and is not a yacht broker. Charters are contracted between you and the yacht’s owner, usually through an accredited charter broker and on a recognised charter agreement such as the MYBA terms. Before you commit, we disclose in writing the broker, the yacht and Aliwood’s role.
- The charter agreement governs your charter, including the charter fee, advance provisioning allowance, security deposit, taxes, cancellation, insurance and the use of the yacht. Please read it carefully before signing.
- The captain has sole authority over all matters of safety, navigation, weather and the conduct of guests aboard, and may change or cancel any part of an itinerary for those reasons.
- Yachts, itineraries and prices are subject to availability and to the owner’s and broker’s confirmation. Guest numbers are limited by each yacht’s certification.
- Guests are responsible for valid passports, visas and health documents, for complying with local laws and customs requirements, and for following the crew’s safety instructions, including when swimming or using water toys.
- Yacht purchases and sales are handled directly between you and the specialist yacht brokers, surveyors and lawyers we introduce.
7. Your responsibilities
- Give us accurate, complete and timely information, and tell us promptly of any change.
- Make your own decisions about whether to proceed with any Provider, and read the Provider’s terms before you do.
- Hold all travel documents, visas, permits, health requirements and insurance needed for your plans.
- Use our services and this website lawfully, and not for any fraudulent, harmful or improper purpose.
8. Payments and fraud prevention
Aliwood will never ask you to send money to a new or changed account by email alone. Before making any payment, confirm the payment details directly with the Provider through contact details you already trust. Aliwood is not responsible for losses caused by payments made to accounts that were not verified in this way.
9. Confidentiality
We treat your requests and personal circumstances as confidential and share only what a Provider needs to serve you, or what the law requires. We never name our clients publicly. Please keep confidential any commercial terms we negotiate for you.
10. Website content
The content of this website is provided for general information. Descriptions, examples, ranges and figures are typical and indicative, not guarantees, and may change without notice. Imagery is illustrative. We may update or withdraw any part of the website at any time.
All content on this website, including the Aliwood name, logos and text, belongs to Aliwood or its licensors. You may view and print pages for personal use, but may not copy, reproduce or use them commercially without our written permission.
11. Limitation of liability
To the fullest extent permitted by law:
- Aliwood is not liable for the acts, omissions, defaults, delays, insolvency or services of any Provider or other third party, or for any event beyond our reasonable control, including weather, strikes, government action, illness, war, epidemic or technical failure.
- Aliwood is not liable for any indirect, incidental, special or consequential loss, or for any loss of profit, revenue, opportunity, data or enjoyment.
- Our total liability arising from any Engagement, whether in contract, tort (including negligence) or otherwise, is limited to the fees you paid to Aliwood for that Engagement.
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited by law.
12. Indemnity
You agree to indemnify Aliwood against claims, losses and costs arising from information you provide that is inaccurate or incomplete, from your breach of these Terms, or from your dealings with any Provider, except to the extent caused by Aliwood’s own wilful misconduct.
13. Ending an Engagement
Either you or Aliwood may end an Engagement by written notice. Aliwood may decline or end any Engagement at its discretion, including where it believes a request may be unlawful, unsafe or contrary to its standards. Sections on fees, confidentiality, limitation of liability, indemnity and governing law survive the end of an Engagement.
14. Communications and notices
We communicate primarily by email. Email is not fully secure; please do not send sensitive financial or identity information unless we ask for it through a secure method. Written notices to Aliwood should be sent to request@aliwoodyachts.com.
15. Governing law and disputes
These Terms and every Engagement are governed by the laws of the Province of Alberta and the federal laws of Canada that apply there. You and Aliwood submit to the exclusive jurisdiction of the courts of the Province of Alberta, except where the law of your place of residence gives you a right that cannot be waived. Before starting any proceedings, please contact us so we can try to resolve the matter in good faith.
16. General
If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce any provision is not a waiver of it. You may not transfer your rights under these Terms without our written consent. These Terms, together with any Engagement, form the entire agreement between you and Aliwood about our services. We may update these Terms from time to time; the version published on this website at the time of your Engagement applies to it.
